Telefonica announced that Vivo will sell the new LG Fireweb and Alcatel One Touch Fire Firefox OS phones in Brazil, starting today. Telefonica also announced that they will launch Firefox OS phones soon in Mexico, Peru, and Uruguay.

Corning and Samsung Strengthen Strategic Collaborations

Corning to acquire full ownership of SCP, enabling significant synergies
Corning’s board authorizes additional $2 billion share repurchase program
Actions expected to be immediately accretive on fully diluted basis for Corning

Corning Incorporated (NYSE: GLW) announced that it is entering into a series of strategic and financial agreements with Samsung Display Co., Ltd., intended to strengthen product and technology collaborations between the two companies. These agreements will allow Corning to extend its leadership in specialty glass and drive earnings growth. Corning expects the transactions to close in the first quarter of 2014.

The series of transactions, subject to closing conditions being met, will result in:

Corning obtaining full ownership of Samsung Corning Precision Materials Co., Ltd. (SCP), an unconsolidated equity venture with Samsung Display that manufactures LCD glass in Korea. Samsung Display currently owns 43% of SCP.
After redemption of their interest in SCP, Samsung Display’s investment in new convertible preferred shares of Corning with an aggregate face amount of $1.9 billion.
Corning’s acquisition of the other shareholders’ minority interests in SCP for an expected proportional cash payment.
Samsung Display’s additional $400 million investment in Corning by subscribing to new convertible preferred shares.
Using Corning’s current share count, Samsung Display’s combined investment in Corning would result in approximately 7.4% ownership on an as-converted basis.
A new long-term LCD display glass supply agreement between Corning and Samsung Display through 2023.
A strengthening of the two companies’ technology collaborations on strategic product development and commercialization initiatives.
In addition, Corning’s board of directors has authorized an additional $2 billion of share repurchases through Dec. 31, 2015, dependent upon the transaction closing.

“We are excited to enter this new era of collaboration in our 40-year equity relationship with Samsung, one of the world leaders in consumer electronics,” Wendell P. Weeks, chairman, chief executive officer and president, said. “The agreements provide important financial and strategic benefits to both Corning and Samsung.”

“Corning and its shareholders will realize attractive financial returns as the transactions produce immediate earnings accretion through the addition of the remainder of SCP, substantial cost synergies and significant incremental free cash flow. Our new long-term supply agreement will provide Corning steady demand in the global LCD market. By leveraging SCP’s fusion-based manufacturing assets, we will further extend our leadership in advanced glass. This affords us greater flexibility in servicing customers, managing capacity, and minimizing capital spending as we expand production of Corning® Gorilla® Glass and pursue new specialty glass applications,” he added.

“We are pleased to have an opportunity to strengthen the strategic ties between our two companies,” Kinam Kim, president and chief executive officer of Samsung Display, said. “We look forward to concentrating our efforts and combining our expertise in product development with Corning’s renowned leadership in glass technologies to develop new market opportunities in consumer products and other industries.”

Corning Expects to Realize Immediate and Long-Term Financial Benefits
“Shareholders will benefit from access to $1.2 billion which represents Corning’s share of existing cash on SCP’s balance sheet, as well as the cumulative incremental free cash flow going forward, which could total $2 billion over the next four years,” Weeks said. The structure of the transaction will also immediately increase Corning’s domestic cash balances.

He added, “Synergies from integrating our worldwide fusion glass assets should approach $100 million pretax in 2015 and continue to grow thereafter. We believe that accretion to Corning’s core earnings per share, on a fully diluted basis of approximately 20% in 2014 and 2015, can be generated from the combination of profits from the soon-to-be acquired 50% of SCP; the resulting manufacturing synergies; and the impact of the additional share repurchase program. The impact of the additional share repurchase program should offset the potential dilution of shares embedded in the convertible preferred security. The transaction should add approximately $2 billion in annual sales; $350 million in incremental profit before special items; and approximately $500 million in additional cash flow to Corning.”

Corning also expects to realize increased flexibility in glass-melting capabilities, which should bring added capital savings. Furthermore, the company will re-evaluate the need for major capital expenditures for additional fusion glass manufacturing assets.

The new convertible preferred shares will have an annual 4.25% coupon and are convertible into common shares based on a price of $20 per common share. The preferred shares are not convertible for seven years, subject to certain exceptions, and contain only limited voting rights until conversion. Effective today, Corning and Samsung have entered into a standstill agreement that limits Samsung’s activities with respect to Corning’s shares and governance. Effective upon closing, a shareholder agreement between Corning and Samsung will limit Samsung’s ownership to no more than 9% of Corning’s common shares on an as-converted basis. The transaction contains a re-pricing mechanism that will account for changes in SCP’s glass prices, volume and Japanese yen to U.S. dollar exchange.

Corning has LCD glass manufacturing operations in the United States, Japan, Taiwan and China. Samsung Corning Precision Materials has LCD glass manufacturing facilities in Korea. Following completion of the transaction, the SCP organization will be integrated into Corning’s Display Technologies segment. Corning will be able to service all specialty glass customers in all regions directly, utilizing its manufacturing facilities throughout Asia. U.S. Corsam Technologies LLC, and Samsung Corning Advanced Glass LLC, both equity affiliates established between Corning and Samsung Display, will continue under their current agreements.

Smartphone vendors ramping up offerings of 5-inch entry-level models

Smartphones with a display size of 5-inch and a price tag of US$300-400 have become mainstream models of the entry-level smartphone segment, attracting not only China-based handset suppliers but also international brands including Samsung Electronics, LG Electronics, Sony Mobile Communications and HTC to launch new 5-inch models for the market, according to industry sources.

To counter competition from China-based players, Sony Mobile launched its first entry-level 5-inch model, the Xperia C, in China and other markets starting late June 2013, indicated the sources, adding that Sony Mobile shipped nearly one million units of the Xperia C in three months after the launch.

HTC enhanced its offerings of 5-inch models by launching three additional models, the Desire 709d, Desire 7060 and Desire 7088, recently in China. The devices were launched in cooperation with China Unicom, China Mobile and China Telecom, respectively.

The three models, available for around US$350 unlocked, all come with a 5-inch screen with a qHD resolution and a Qualcomm 1.2GHz quad-core Snapdragon 200 CPU and an 8-megapixel camera at the back, while supporting dual-SIM functionality.

Also targeting the large-size smartphone segment, LG's 5.5-inch model, the LG G pro Lite, is set to be available in November. Having hardware specifications comparable to its latest flagship model the G2, a 16GB version of the G pro Lite is likely to be available for US$350, the sources estimated.

ALL-IN-ONE: THE NOKIA LUMIA 2520 TABLET

Today, Nokia introduces its first Windows tablet, the Nokia Lumia 2520, running on Windows RT 8.1.


2520_350“It’s a complete package,” product manager Paul Bischof told Conversations. “It takes everything you’ve got in your desktop or laptop and crams all that into a device that’s only 8.9mm thick and weighs a little over a pound.”

True mobile companion

A true child of Nokia’s mobile heritage, the Lumia 2520 is made to support life on the go, designed for mobility, reliability, longevity and with a unique sense of style and colour.
The Nokia Lumia 2520 is ideal for life on the move, with features that extend its usefulness out and about. The high definition 1080p, 10.1-inch screen is made using Gorilla Glass 2 for toughness, and has been made to give less reflection than other tablets in the marketplace, a superior brightness range to see your content in different lighting environments, as well as a wide-viewing angle, for sharing or presenting. A 4G LTE modem and WiFi ensure lightning fast communications wherever you are.
2530_coloursPaul explains that the components, including the punchy Qualcomm Snapdragon 800 processor were selected for flawless performance from the touch-screen OS, without soaking up the battery. “The system is designed to selectively cut down power consumption when it’s not needed,” he explains.
While it’s running a full computer operating system, the Lumia 2520’s battery is capable of such feats as playing video for ten hours non-stop without a charge. The battery also offers a quick start with its ultra-fast charging time. It can go from zero to 80 per-cent charged in an hour.
Alongside the Nokia Lumia 2520, we’re releasing the Nokia Power Keyboard, a natural companion for the new device. It offers a keyboard with a touchpad, of course, but also wraps right round the tablet to offer complete protection without needing a separate case. The Power Keyboard also contains an extra battery for up to five hours extra use, plus two USB ports, for whatever other accessories you wish to attach.

Media darling

On the back, there’s a high quality 6.7-megapixel camera with ZEISS optics and an f1.9 aperture that delivers great low light performance. This is supported by two new apps from Nokia – Storyteller and Video Director, which will help you make the most of the media you capture and create. On the front, a secondary 2-megapixel camera allows for crystal clear video calls. We’ll be describing Storyteller and Video Director in more detail in separate posts.

The Windows RT 8.1 operating system offers a complete Microsoft Outlook and Office experience, preinstalled, at no extra cost. Also, from Nokia, you’ll find a new version of HERE Maps, making this the first tablet with a true offline mapping capability. There’s also Nokia Music onboard, for free streaming and offline Mixes.
Presented in red, cyan, white and black, the Nokia Lumia 2520 will initially be available for sale in the US, UK and Finland at an estimated price of USD 499 before local taxes and subsidies. It will be spreading to other markets shortly after.

Today, at Nokia World in Abu Dhabi, Nokia unveiled its two new large screen smartphones, the Nokia Lumia 1520 and Lumia 1320.

Both devices feature 6-inch screens to make the most of the enhanced Windows Phone Start screen and three columns for Live tiles allowing you to see and do more on the larger screen.

The Nokia Lumia 1520 features a 1080p full HD screen, 20MP PureView camera with optical image stabilization, enhanced sensor technology, oversampling and outstanding zoom capabilities, along with the latest imaging app called Nokia Camera. You will also enjoy the new Nokia Storyteller app to relive your memories in a new and dynamic way and truly share better stories with your friends and family.
Nokia Storyteller automatically integrates the pictures from your phone with HERE location information and creates a chronological picture journey on a map. Look up points of interests, get contact information and check out user reviews all directly from Nokia Storyteller for an interactive experience. Boost your daily productivity
The Lumia 1520 is a genuine workhorse, too. It comes with Microsoft Office built in, so you can have the flexibility to work when you need to; and it includes a massive battery with integrated wireless charging (Qi compatible). According to Ilkka Husgafvel, the lead industrial designer for the Lumia 1520, “Purity was one of the main drivers in the creation of this device, along with understanding the scale available in the large screen. We aimed to create a device that feels thin and comfortable in the hand: it’s only 8.7mm deep.”
The phone features ceramic keys on the side, and subdued icons at the front. It will be available in four Lumia colors (white, yellow, red and black): the black phone is made of recycled materials.

The Nokia Lumia 1320 – going large at a lower price

Similar to the Lumia 1520 – and building on the affordability of the Lumia 520 – the new Nokia Lumia 1320 also features a 6-inch screen and a wealth of features at a lower price.
But this does not mean that there was a compromise on quality. The phone boosts a 720p HD screen made with Gorilla Glass 3, and features a super sensitive touch screen. It includes Nokia Music and HERE Maps for great music and location experiences, and welcomes both Nokia Camera and Nokia Storyteller apps, available in the Windows Phone Store.
With the latest apps, the best from Nokia, and the best from Microsoft supported by LTE connections you can make the most out of the bright large screen on the Lumia 1320. Sit back and relax while you play the latest Xbox games, read web content, or watch movies on the six inch screen. A wealth of content can be stored using the free 7GB of SkyDrive storage or with the addition of a micro SD card adding up to 64GB more space.

When can I get it?

The Nokia Lumia 1520 is expected to begin selling this quarter in Hong Kong, Singapore, the United States, China and Europe (including Finland, France, Germany, and the UK), followed by other markets; and it has an estimated price of around USD 749 before local taxes and subsidies.
The Nokia Lumia 1320 will be available in a choice of orange, yellow, black, or white, and is planned to be available first in China and Vietnam in early 2014, followed by other Asian markets, India and European markets. It carries an estimated price of USD 339 before local taxes and subsidies.
Many of the new features and imaging innovations found in the Nokia Lumia 1520 and Nokia Lumia 1320 will be coming to existing Nokia Lumia smartphones running on Windows Phone 8 aligned with the next software update called “Lumia Black”. The update, including the latest Windows Phone update from Microsoft, is expected to begin rolling out in early 2014.
